These Terms & Conditions govern your purchase and use of all ELLA Production Packets — attorney-drafted digital template products sold by Entertainment Lawyers of Los Angeles.

No Attorney-Client Relationship

The purchase, download, or use of any ELLA Production Packet does not create an attorney-client relationship between you and Iris Jackson, Esq., or Entertainment Lawyers of Los Angeles (ELLA). No attorney-client relationship is formed by any transaction through this website, any communication initiated through this page, or any use of the materials contained in the packets.

This is important. You are purchasing attorney-drafted template forms, not legal representation and not legal advice specific to your project. If you need legal advice about your production, contact ELLA directly to discuss representation. We offer free initial consultations.

ELLA is not your attorney as a result of this purchase. The duties and obligations of an attorney-client relationship — including confidentiality, loyalty, and the duty to provide individualized legal advice — do not arise from or attach to your purchase of these materials.

These Are Templates, Not Legal Advice

All ELLA Production Packets are attorney-drafted legal templates created by Iris Jackson, Esq., a licensed attorney in the State of California. They are provided for general transactional use only.

These templates do not constitute legal advice. They are designed as a starting point for your production documentation and cannot account for the specific facts, circumstances, structure, or legal requirements of your individual project. Productions vary significantly in their legal needs, and no template can anticipate every situation your project may present.

You are strongly encouraged to consult with a California-licensed entertainment attorney before executing any agreement based on these templates — particularly if your production involves union obligations, significant financial interests, international elements, complex rights arrangements, or any circumstances that fall outside standard independent production.

ELLA makes no representation that these forms are appropriate, sufficient, or complete for every production or every factual circumstance.

What You Are Purchasing

ELLA Production Packets are digital template products. Each packet contains a set of attorney-drafted production forms tailored to its specific production type. The three available packets are:

Scripted Film Production Packet (Non-Union) — $5,000 — for non-union narrative film productions operating outside SAG-AFTRA, DGA, WGA, and IATSE agreements
Scripted Film Production Packet (Union) — $7,000 — for scripted productions operating under one or more of the major guild agreements: SAG-AFTRA, DGA, WGA, and/or IATSE
Documentary Production Packet — $5,000 — for feature and short documentary productions, including observational docs, interview-driven projects, and archival-heavy films

Each packet is delivered as a secure digital download via the link provided after purchase. The download link is valid for 24 hours from the time of first access. It is your responsibility to download and save your files within that window.

The Union Scripted packet provides production templates designed to be used alongside applicable collective bargaining agreements. It does not include the CBAs themselves, which are separately maintained and administered by each guild, and it is not a substitute for union compliance counsel.

License — What You Can and Cannot Do

Your purchase grants you a single-use, non-exclusive, non-transferable license to use the templates in one (1) production. This means:

You may use the templates for a single production project
You may customize and adapt the templates for use in that one production
You may not resell, redistribute, sublicense, share, publish, or transfer the templates or any portion of them to any third party
You may not use the templates across multiple productions without purchasing an additional license for each production
You may not create derivative template products based on these materials and offer them for sale or distribution
You may not upload these templates to any marketplace, document-sharing platform, or attorney template service

ELLA retains full title and ownership of all materials in every packet. Your purchase is a license to use, not a transfer of ownership. ELLA reserves the right to pursue all available legal remedies, including injunctive relief and damages, against anyone who violates these license terms.

No Refunds

Due to the instant and digital nature of these products, all sales are final. There are no refunds, returns, or exchanges.

By completing your purchase, you acknowledge that you have read these Terms & Conditions, understand what you are purchasing, and agree that no refund will be issued after your order is processed and the download link is generated.

Limitation of Liability and Disclaimer of Warranties

ELLA provides these templates "as is" and makes no representations or warranties of any kind, express or implied, regarding the templates or their fitness for any particular production, jurisdiction, or purpose.

To the maximum extent permitted by applicable law, ELLA expressly disclaims:

Any warranty that these templates are complete, current, accurate, or appropriate for your specific production
Any warranty that use of these templates will result in any particular legal outcome or protect against any particular claim
Any liability for losses, damages, claims, or expenses arising from your use or misuse of these materials
Any liability for reliance on these templates as a substitute for individualized legal advice

In no event shall ELLA or Iris Jackson, Esq. be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your purchase or use of these materials, even if advised of the possibility of such damages.

Your sole remedy for any dissatisfaction with the materials is to discontinue use. Because all sales are final and no refunds are issued, you are encouraged to review these terms and reach out with questions before purchasing.

Copyright and Intellectual Property

All ELLA Production Packets and their contents are protected by United States copyright law. Iris Jackson, Esq. and Entertainment Lawyers of Los Angeles retain all intellectual property rights in and to these materials.

The purchase of a packet grants you only the limited license described in Section 04. Nothing in these Terms transfers any copyright, trademark, or other intellectual property interest in the materials to you.

Any unauthorized reproduction, distribution, or use of these materials constitutes copyright infringement and may subject you to civil and criminal liability. ELLA will enforce its intellectual property rights to the full extent of the law.

$100 Discount on Legal Services

Purchasers of any ELLA Production Packet are eligible to receive $100 off ELLA's standard hourly rate if they later retain ELLA for legal services on a production project. To redeem this discount, you must provide proof of purchase at the time of engagement.

This discount applies to future legal services only and has no cash value. It may not be combined with other promotions, transferred to another party, or applied retroactively. ELLA reserves the right to modify or discontinue this offer for future packet sales at any time, but existing purchasers who have already received a proof-of-purchase confirmation will retain eligibility under the terms in effect at the time of their purchase.

The discount offer does not constitute a guarantee of representation. ELLA retains the right to decline representation for any reason consistent with the California Rules of Professional Conduct.

Governing Law

These Terms & Conditions are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your purchase of an ELLA Production Packet shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

California Bar Compliance Disclosures

In accordance with the California Rules of Professional Conduct, Chapter 7 (as amended, including SB 37 and California Business and Professions Code Section 6153):

ELLA reserves the right to update or modify these Terms & Conditions at any time. Changes will be effective upon posting to this page. Your purchase after the effective date of any updated terms constitutes your acceptance of those terms. The terms in effect at the time of your purchase govern your transaction.
